2026 GWGA 18 HOLE LEAGUE - GREENBRIER WOMEN’S GOLF ASSOCIATION CONSTITUTION AND BYLAWS

ARTICLE I - NAME  GREENBRIER WOMEN’S GOLF ASSOCIATION (GWGA) shall  be the name of the Greenbrier Country Club (GCC) 18-hole league,  hereafter referred to as GWGA.  ARTICLE II - OBJECTIVE  GWGA shall uphold the image of GCC, encourage interest and  confidence in competitive play, and instruct members in the United  States Golf Association (USGA) rules, good sportsmanship, and  etiquette of the game of golf. USGA rules shall govern USGA play.  ARTICLE III - MEMBERSHIP  Membership shall be limited to females, eighteen (18) years or  older, having a USGA handicap or having applied for one. Weekday  club members shall be subject to GCC rules and limitations. Annual  membership shall be from January 1st to December 31st. GWGA  annual dues shall be recommended by the Executive Board, and  shall be payable by March 1st. New Members who join after July 1  shall pay fifty percent (50%) of the annual dues.  Female members of Greenbrier Country Club who are non-members  of the GWGA are eligible to play a total of two eighteen (18) hole  rounds with the GWGA per calendar year. Payment of dues is  required by the date of the third round of play to be considered a  member in good standing. Only members in good standing are  1 eligible to hold office and vote at meetings. Further, only members  in good standing may win Playday games or tournament prizes.  ARTICLE IV - MEETINGS  Section 1 - Regular Meetings A meeting of the general membership shall be held monthly with the  exception of January and December.  Section 2 - Special Meetings Special meetings may be called at any time by the President. Upon  written request from at least three members, the President shall call  a special meeting. Notice of any special meeting shall be sent to all  members at least ten (10) days prior to the meeting. The notice shall  state the objectives of the meeting, and no other business shall be  transacted.  Section 3 - Executive Board Meetings  A meeting of the Executive Board shall be held monthly at the  discretion of the President.  Section 4 - Quorum One-third of the membership shall constitute a quorum for the  purpose of votes taken on business conducted at the general  membership meetings.  2 Four members of the Executive Board shall constitute a quorum for  the purpose of votes taken on business conducted at the Executive  Board meetings.  Two-thirds of the membership shall constitute a quorum for the  adoption of Amendments to the Constitution and Bylaws.  ARTICLE V - NOMINATING COMMITTEE  The Nominating Committee shall consist of three (3) members  elected at the September meeting, one from the Executive Board and  two (2) from the general membership. They shall select their own  chairwoman. They shall nominate a candidate for each elected  office, with the prior consent of the nominee and present the slate at  the October general membership meeting.  ARTICLE VI - ELECTION OF OFFICERS  The election of officers shall be made at the November meeting.  Nomination of consenting candidates may be made from the floor.  When there is only one candidate for each office, the President shall  instruct the Secretary to cast the ballot. When there are two or more  nominees for the same office, election shall be made by ballot.  Officers shall assume their duties effective January 1st. Term of  office shall be one year. No member shall hold more than one  elective office at a time. No member shall be eligible to serve more  than (2) consecutive terms in the same office.  3 ARTICLE VII - ELECTED OFFICERS  Section 1 - Elected Officers The elected officers shall be President, Vice President, Secretary,  and Treasurer.  Section 2 - Duties of Elected Officers PRESIDENT  • Preside over all meetings of the GWGA and the Executive  Board, in keeping with Robert’s Rules of Order. Appoint committees. Serve as ex-officio member of all  committees except the Nominating Committee.  • Sign GWGA checks in the absence of the Treasurer.  • Cast the deciding vote in the event of a tie.  • Represent the GWGA on the GCC Golf Committee.  • Act as liaison with the GWGA Nine Hole League and with the  Greenbrier Men’s Golf Association (GMGA).  • Represent the GWGA at any other function requiring GWGA  participation.  VICE PRESIDENT  • Fulfill the duties of the President in her absence.  • Chair the Playday Committee.  • Prepare or designate a member to prepare the GWGA  membership directory and Playday calendar.  • Perform any other duties assigned by the President.  • Disseminate important GWGA information/messages  electronically thru approved GWGA application(s) to the  members.  4 SECRETARY  • Record the minutes of the GWGA and Executive Board  meetings. Present minutes to the membership as appropriate.  Retain the permanent book of Minutes.  • Assure that the current GWGA Constitution and Bylaws,  Standing Rules, Guidelines and Procedures, and Robert’s  Rules of Order are available at all meetings.  • Maintain attendance records.  • Receive and prepare all GWGA correspondence, and report to  the membership at the monthly meeting.  • Fulfill the duties of the President in the absence of the  President and the Vice President.  TREASURER  • Receive and disburse all funds to and from the GWGA  checking account. Keep a permanent record of receipts and  disbursements.  • Work with the Executive Board to prepare the annual budget  and present it to the membership.  • Prepare a Treasurer’s report to be presented at the monthly  meeting.  • Collect dues and maintain a register of paid members.  • At the November meeting, present a written year-to-date  financial report.  • Fulfill the duties of the President in the absence of the  President, Vice President and Secretary.  5 ARTICLE VIII - EXECUTIVE BOARD  Section 1 - Composition The Executive Board shall be comprised of the President, Vice  President, Secretary, Treasurer, immediate Past President, and  Standing Committee chairwomen.  Section 2 - Duties of Executive Board • Review the Constitution and Bylaws, Standing Rules, and  Guidelines and Procedures annually and recommend changes.  • Prepare and present the annual budget to the membership for  adoption at the annual meeting, with the direction of the  Treasurer.  • Recommend a revised budget as appropriate. No GWGA 18  Hole League Funds (in the amount of $50 or above) shall be  expended on items not provided for in the budget without a  vote of the membership. This was done in July this year.  • Oversee the general affairs of the GWGA. Ensure all GWGA  matters are conducted in accordance with written procedures.  Resolve disputes.  • Fill any elective vacancies until the next annual election.  • Request the resignation of any elected or appointed official not  performing the duties of the position, and appoint a successor.  6 ARTICLE IX – STANDING COMMITTEES  The Standing Committees are as follows, with duties defined in the  Guidelines and Procedures.  Awards Committee  Bylaws Committee  Finance Committee  Golf Rules Committee  Membership contact Committee  Playday Committee  Tournament Committe  ARTICLE X - ADOPTION  The Constitution and Bylaws require a two-thirds vote of the  GWGA membership for adoption and are effective immediately.  ARTICLE XI - PARLIAMENTARY PROCEDURE -  The parliamentary procedure for GWGA shall be the Robert’s Rules  of Order. ARTICLE XII - AMENDMENTS  The Constitution and Bylaws may be amended by a two-thirds vote  of the GWGA membership present, and by proxy, executed in  writing by the member, appointing some other member to cast the  vote.
